By creating an account, accessing our website at texttoquant.com, or using any aspect of our Service, you ("User," "you," or "your") enter into a legally binding agreement with TextToQuant ("TTQ," "we," "us," or "our").

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into this Agreement
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and current

2. Description of Service

2.1 What We Provide

TextToQuant provides a natural language processing tool that allows users to:

  • Convert plain English trading strategies into backtested results
  • Analyze historical cryptocurrency market data
  • Generate performance metrics and trading statistics
  • Access educational resources and community features

2.2 Data Sources

Our Service utilizes:

  • Historical market data from CoinGlass API
  • Technical indicators and analysis algorithms
  • Monte Carlo simulation for strategy validation
  • Community-contributed educational content

2.3 Service Availability

We strive to maintain 24/7 availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance
  • Technical difficulties
  • Third-party service disruptions
  • Events beyond our reasonable control

3.1 NOT FINANCIAL ADVICE

  • TextToQuant is NOT a registered investment advisor, broker-dealer, or financial institution
  • We DO NOT provide investment advice, recommendations, or financial planning services
  • Nothing on our Service constitutes a recommendation to buy, sell, or hold any cryptocurrency
  • All information is provided "as-is" for educational purposes only
  • You are solely responsible for your own trading and investment decisions

3.2 TRADING RISKS

CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS.

You acknowledge and understand that:

  • Total Loss is Possible: You can lose some or all of your invested capital
  • Volatility: Cryptocurrency markets are highly volatile and unpredictable
  • No Guarantees: Past performance does NOT indicate future results
  • Backtesting Limitations: Historical backtesting does not guarantee future success
  • Market Risk: Prices can move rapidly against your position
  • Liquidity Risk: You may not be able to exit positions when desired
  • Technical Risk: Platform outages, system failures, or errors can occur
  • Regulatory Risk: Cryptocurrency regulations are evolving

3.3 BACKTESTING DISCLAIMERS

BACKTESTING RESULTS HAVE INHERENT LIMITATIONS:

  • Hypothetical Nature: Backtests are based on historical data and simulated trading
  • Hindsight Bias: Strategies optimized on historical data may not work in live markets
  • Overfitting: High historical performance may indicate over-optimization
  • Market Conditions: Historical market conditions may not repeat
  • Execution Differences: Real trading involves slippage, fees, and liquidity constraints
  • Data Quality: Results depend on accuracy of historical data
  • Survivorship Bias: Historical data may not include all relevant market information

OUR MONTE CARLO VALIDATOR helps identify potentially overfitted strategies but does not eliminate risk or guarantee future performance.

4. User Accounts and Responsibilities

4.1 Account Creation

To access certain features, you must:

  • Provide accurate registration information
  • Create a secure password
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity under your account.

4.2 Prohibited Uses

You agree NOT to:

Security and Abuse:

  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without our written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Introduce malware, viruses, or harmful code

Content and Conduct:

  • Upload or transmit unlawful, harmful, threatening, abusive, or defamatory content
  • Impersonate any person or entity
  • Violate intellectual property rights
  • Engage in market manipulation or illegal trading activities
  • Use the Service to commit fraud or other illegal acts

Commercial Misuse:

  • Resell or redistribute access to the Service without authorization
  • Use the Service to build competing products or services
  • Share your account credentials with others
  • Create multiple accounts to circumvent limitations

5. Intellectual Property Rights

The Service and all content, features, and functionality are owned by TextToQuant or our licensors and are protected by United States and international copyright laws, trademark laws, patent laws, trade secret laws, and other intellectual property rights.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

6. Fees and Payment Terms

6.1 Subscription Plans

Access to the Service requires a paid subscription. Current pricing is displayed on our website.

6.2 Payment Processing

  • Payments are processed through Skool and/or Stripe
  • By subscribing, you authorize recurring charges to your payment method
  • Fees are billed in advance on a recurring basis
  • All fees are in U.S. Dollars unless otherwise stated

6.4 Refund Policy

REFUNDS ARE GENERALLY NOT PROVIDED.

  • All sales are final once you gain access to the Service
  • We do not offer pro-rated refunds for partial subscription periods
  • Exceptions may be made at our sole discretion for technical failures or billing errors

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

7.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, SECURITY, OR NON-INFRINGEMENT.

7.2 Disclaimer of Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY:

  • Loss of profits or revenue
  • Loss of data or business opportunities
  • Trading losses or investment losses
  • Indirect, incidental, or consequential damages
  • Special or punitive damages

7.3 Maximum Liability Cap

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED: The greater of (a) $100 USD or (b) the amount you paid us in the 12 months prior to the event giving rise to liability.

8. Dispute Resolution and Arbitration

8.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at texttoquant@spekule.com to seek an informal resolution.

8.2 Binding Arbitration

YOU AND TEXTTOQUANT AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL BE RESOLVED THROUGH BINDING ARBITRATION, not in court, except for small claims court disputes, intellectual property disputes, or requests for injunctive relief.

8.3 Governing Law

These Terms are governed by the laws of New Mexico, United States, without regard to conflict of law principles. If arbitration does not apply, exclusive jurisdiction lies in state or federal courts located in Bernalillo County, New Mexico.

11. CFTC Rule 4.41 - Hypothetical or Simulated Performance Results

U.S. GOVERNMENT REQUIRED DISCLAIMER

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, BECAUSE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-OR-OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS, IN GENERAL, ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

12. Educational Purpose Statement

THE SERVICE IS PROVIDED FOR EDUCATIONAL PURPOSES ONLY.

Our tools are designed to help you:

The Service is NOT designed to:
