Affiliate Program Agreement

1. Eligibility & enrollment

• You must have a TextToQuant account in good standing and be at least 18 years old.
• Enrollment is completed in-app; you receive a unique referral link and are responsible for all activity under your affiliate account.
• Company employees, contractors, and their immediate family may not earn commissions on their own or related purchases.
• We may approve, decline, suspend, or remove any affiliate at our discretion.

2. Referral tracking & attribution

• First-touch: a customer is attributed to the first affiliate whose link they used; later links do not reassign them.
• Attribution window: up to 90 days from the click, via a first party cookie and equivalent storage. Credit requires the visitor to create an account while attribution is active.
• Commissionable event: a paid subscription payment by an attributed customer. Credit pack purchases and taxes are not commissionable.
• We are the final authority on tracking and commission calculation using our own records.

3. Commissions

• Rate: 25% of the net subscription revenue actually collected from each attributed customer.
• Duration: up to 12 months from the date the referral was created; payments after that are not commissionable.
• Net revenue excludes taxes, fees, currency conversion costs, refunds, chargebacks, and credits.
• Holding period: each commission is held 30 days before it becomes payable, to cover refunds and chargebacks.
• Reversals: if a payment is refunded, charged back, disputed, or reversed, the commission is reversed; if already paid, we may deduct it from future commissions or invoice you.
• We may change the rate, duration, or holding period prospectively on notice; changes do not reduce commissions already earned.

4. Payouts

• Methods: cryptocurrency (USDT/USDC or similar) to the wallet saved in your affiliate account settings. Additional payout methods may be offered in the future.
• Minimum: payouts are made once your cleared balance reaches $50; smaller balances roll over.
• Schedule: periodic (typically monthly) for commissions that have cleared the holding period.
• Currency: commissions are calculated in USD; conversion/transfer fees are your responsibility.
• Taxes: you are solely responsible for taxes and must provide any required tax documentation (e.g. W-9/W-8BEN) before payout.

6. Relationship of the parties

Nothing here creates a partnership, joint venture, employment, agency, or franchise relationship. You are an independent contractor with no authority to make representations or commitments on the Company's behalf.

7. Trademarks & license

We grant you a limited, non-exclusive, revocable, non-transferable license to use our name and approved assets solely to promote TextToQuant under this Agreement and any brand guidelines we provide. All goodwill inures to us; the license ends when this Agreement ends.

8. Term & termination

Either party may terminate at any time on notice (including in-app). We may suspend or terminate immediately and withhold or reverse commissions if we reasonably believe you breached this Agreement, engaged in fraud or prohibited conduct, or created legal/reputational risk.

On termination your license to use our marks ends and you must stop using referral links on request. Cleared, compliant commissions earned before termination remain payable; commissions tied to fraud or breach are forfeited.

10. Governing law & disputes

This Agreement is governed by the laws of New Mexico, United States, without regard to conflict-of-laws rules. Consistent with the TextToQuant Terms of Service, disputes are resolved through binding arbitration except for small-claims matters, intellectual-property disputes, or requests for injunctive relief; where arbitration does not apply, exclusive jurisdiction lies in the state or federal courts in Bernalillo County, New Mexico.

11. Changes

We may update this Agreement or the Program terms. Material changes take effect when we post the updated Agreement or otherwise notify you. Continued participation constitutes acceptance. Changes are prospective and do not reduce commissions already earned.
